The following terms and conditions are effective immediately upon User taking access to DPro Training eLearning Portal and agreement is accepted between User (individual accessing any of the DPro Training Portals) and DPro Healthcare (herein described as DProH), 307 East St., Rochester, MI 48307.
The eLearning Portal housed under DPro Training (herein described as Portal) is fully owned and operated by DProH. All access rights provided herein by DProH are for the sole use of the User, for their individual training needs, internally. User agrees to not utilize the Portal as an outside training tool or resource for any physicians, staff, practices or other personnel, unless already granted permission from DProH. User agrees to not present or demonstrate the Portal to anyone outside of their own individual use without prior consent and approval from DProH. DProH shall retain a security interest in all deliverables and intellectual property rights pursuant to these Terms and Conditions.
WHEREAS, the User acknowledge that any disclosure of such knowledge, videos, content, information, methods, processes, techniques and skills or other confidential or proprietary information could substantially injure DProH’s businesses and impair the investments made; No license is allocated to the individual users;
- Ownership of Information. The parties agree that any information revealed to the other by then remains the exclusive property of DProH. DProH reserves all rights and ownership to the DPro Training eLearning Portal and the entirety of its contents. As of the effective date, there are no exclusivity rights to User.
- Term. These Terms and Conditions are infinite or will expire upon the User’s profile being fully deleted and removed from Portal.
- Governing Law: This Agreement shall be governed by, and construed in accordance with the laws of the state of Michigan without regard to its conflict of law provisions.
